Terms of Use

Article 1 (WORK IN JAPAN selected by CODE ASIA (to be abbreviated as "WIJ-CA")

"WORK IN JAPAN selected by CODE ASIA" (to be abbreviated as "WIJ-CA") (as defined in Article 3; hereinafter referred to as the "Services") is a collective term for the services provided by RECRUIT Co., Ltd. (the "Company") to the members of the Services (as defined in Article 2; hereinafter referred to as "Member(s)" ) in accordance with these Terms.

Article 2 (Members)

  • (1)The Members refer to, among the students enrolled in a university, graduate school or any other type of educational institution, those who have registered (the "Membership Registration") their personal information (as defined in the "Privacy Policy" separately established by the Company), qualifications, experience, attributes and other information (the "Activity Information") on the Site (as defined in Article 3). The Members may use the services available to the Members (the "Member Services") which are included in the Services after the Membership Registration is completed. The Members cannot, at a later time, change their Activity Information registered at the time of completing the Membership Registration.
  • (2)By completing the Membership Registration for the Services, the Members are deemed to have agreed to all the contents set forth in these Terms, the Privacy Policy and any other provisions, or the like, separately presented by the Company (hereinafter collectively referred to as the “Terms of Membership”) at the time of the Members completing the Membership Registration.

Article 3 (Contents of the Services)

  • (1)The Company shall provide the following services to the Members in accordance with these Terms:
    • 1) Operation and management of the website ([URL]) (the "Site") on which the Membership Registration is completed;
    • 2) Implementation and operation of "WORK IN JAPAN selected by CODE ASIA" (to be abbreviated as "WIJ-CA"; hereinafter referred to as the "Contest");
    • 3) Appropriate testing by way of "Global SPI 2" or "SPI 2" provided by the Company's affiliated companies (including the provision of similar services after any name change), and selection of the Members by way of aptitude testing, or the like, after implementation of the Contest;
    • 4) Taking procedures for traveling to Japan and arrangement of accommodation if a Member who participates in the Contest needs to travel to Japan;
    • 5) Other matters the Company deems necessary for the performance of the Services.
  • (2)The Members shall agree in advance that there is a possibility that they will be unable to receive a portion of the Services based on the results of the selection set forth in the preceding paragraph or any decision made by the Company or the like.
  • (3)The Services shall be provided for a certain period and service hours to be determined by the Company.
  • (4)The Company shall operate the Services in accordance with the provisions concerning business operations separately established by the Company.
  • (5)The Company may provide, in addition to the contents of the Services set forth in this Article, other services ("Other Services") separately determined by the Company. In this case, such Other Services shall constitute part of the Services and be subject to these Terms.

Article 4 (Responsibility of Members and Registered Information, etc.)

  • (1)The Members shall complete Membership Registration for the Services at their own discretion, and use the Services (including participation in the Contest) in accordance with the instructions informed by the Company to the Members.
  • (2)The Members shall use the Services at their own discretion and at their responsibility.
  • (3)The Members are responsible for the content of the personal information, Activity Information and other information (hereinafter collectively referred to as "Registered Information") entered at the time of completing the Membership Registration; the Company shall not be responsible for any disadvantage caused to the Members arising from the contents of the Registered Information.
  • (4)If any complaint or request for deletion is made by a third party regarding transmission errors or any other issues due to the existence of any error in the personal information, including, without limitation, an e-mail address or telephone number which is included in the Registered Information, the Members shall agree that the Company may delete such personal information without prior notice.
  • (5)The Members shall agree in advance that the Company, its affiliated companies and business partners may, during and after the period of providing the Services, use the Registered Information for a purpose other than the purpose of providing the Services, aimed at improving the products and services of the Company.

Article 5 (Matters Prohibited for Members)

The Members are prohibited from engaging in the following acts when using the Services:
  • (1)Intentionally registering and/or providing false information;
  • (2)Infringing upon the copyright, trademark rights, privacy rights, name rights, portrait rights, honor and/or other rights of others;
  • (3)Defaming or slandering any individual or organization;
  • (4)Engaging in any act that is, or is likely to be, in violation of the law or offensive to public order and/or morals;
  • (5)Providing information or engaging in any similar act, for profit, using the Services;
  • (6)Interfering with the operation of the Services, or damaging the confidence and/or reputation of the Company.

Article 6 (Expulsion from Membership)

If the Company considers that a Member has violated these Terms, that any of the following items occurs, or that a Member has engaged in any such acts in the past, the Company may temporarily suspend all or part of the Member Services provided to the Member, or remove his/her membership from the Services:
  • (1)If the Company judges that a Member has not engaged in any activities toward the Contest despite the Company having provided the Services to the Member, and that the Member has no intention of participating in the Contest;
  • (2)If a Member interferes with the normal operations of the provision of the Services, or engages in threatening or violent attitude or behavior, or acts of nuisance against persons involved in the provision of the Services, including other Members, business operators, employees and other staff of the Company;
  • (3)If a Member engages in any of the prohibited matters set forth in Article 5;
  • (4)If the Company is unable to communicate with a Member for a certain period of time; or the Company is unable to communicate with the Member for a certain period of time; or
  • (5)If the Company considers that it is extremely difficult to provide the Services for reasons other than the above.

Article 7 (Agreed Matters)

The Members agree to the following matters:
  • (1)The Members shall follow the instructions of the Company when participating in the Contest and shall not engage in any of the prohibited matters stated in the manual and other documents pertaining to the Contest separately presented by the Company.
  • (2)All expenses necessary for the Members to receive the Services, excluding expenses for traveling to Japan and accommodation expenses in Japan, arising in relation to the Contest, which the Company specifies as being necessary, and other expenses separately specified by the Company shall be paid by the Members.
  • (3)The Company may be unable to provide the Service depending on the situation of the Members applications, as the Service is scheduled to be offered for a limited period for a limited number of business operators.
  • (4)The Members acknowledge that the Services shall be provided for a limited period, and the Members cannot demand the Company to provide new services after the expiration of the period for providing the Services.
  • (5)The Members agree in advance that the Company may create and edit video tape recordings and still photography of the Contest and the Members (including images showing the Members; hereinafter, collectively, referred to as “VTRs”), and screen the VTRs within the Contest or distribute the VTRs on the Internet ("Screening, Etc."). The Members also agree in advance that during or after the period of the Contest, the Company may, either by its own or through its affiliated companies or business partners, and at its own discretion, engage in the Screening, Etc., of the VTRs, with or without editing the VTRs, at other events, or on other websites or through other media. All the copyrights (including the rights set forth in Articles 27 and 28 of the Copyright Act) and other intellectual property rights relating to the VTRs created by the Company and all the articles created in the process of creating or editing the VTRs shall be owned by the Company; the Members shall not assert any rights (including any rights as to publicity) or raise any objections.
  • (6)The Members acknowledge that the information disclosed by the Company and the business operators is information necessary for the operation of the business of the Company or the business operators, and shall not disclose or divulge such information to any third party other than the Company and the business operators.
  • 7)The Members agree in advance that the Services are not intended to encourage the Company or business operators to employ the Members.

Article 8 (Period)

  • (1)The Services will be provided during a period from the day of Membership Registration to the last day of the Contest, provided that upon prior notice to the Members, the Company may extend the period of providing the Services.
  • (2)Notwithstanding the preceding paragraph, the Company may terminate the Services, even during the period of providing the Services in the following cases:
    • (i) When a Member notifies the Company of its intention to cease receiving the Services;
    • (ii) In addition to the above cases, when a Member and the Company decide by consultation to terminate provision of the Services; or
    • (iii)When the Services are suspended due to force majeure.

Article 9 (Liability of Company)

  • (1)The Company shall not be liable for any damage (including, without limitation, emotional distress, monetary loss and all other forms of disadvantage) caused by Membership Registration for the Services, the use of the Services by the Members (including accidents that may occur while participating in the Contest, and acts by the Company or a third party providing information associated with the use of the Services), or any site or service provided by a third party which can be accessed through the Services, except where it is obvious that such damage has been caused by the Company’s willful misconduct or gross negligence. Even in the event of the Company being held liable, the liability of the Company shall be limited to direct and normal damages.
  • (2)When the Members who participate in the Contest need to travel to Japan, such Members must enter into a travel agreement with a travel agent (the "Agent") separately designated by the Company. The Agent shall be liable for the travel agreement to the extent set forth in the travel agreement; the Company shall not be liable for any damage related thereto, except where it is obvious that such damage has been caused by the Company's willful misconduct or gross negligence. Even in the event of the Company being held liable, the liability of the Company shall be limited to direct and normal damages.

Article 10 (Force Majeure)

  • (1)The Company shall not be liable for any cases in which damage is caused by a computer virus that cannot be prevented by anti-virus measures required under normal circumstances, and where the Members suffer damage due to natural disaster, amendments to laws and regulations, governmental orders and instructions or any other reasons not attributable to the Company (collectively, "Force Majeure"). The Company does not warrant that the data related to the Services will not be deleted or altered by Force Majeure; the Members shall retain such data at their own responsibility.
  • (2)The Company may cancel or change the holding of the Contest if any of the following occurs. In this case, the Company shall not be held liable for any damage incurred by the Members due to cancellation or change in the holding of the Contest.
    • (i) If there is any natural disaster, epidemic, war, riot, civil war, terrorism, strike, lockout, accident involving transportation or telecommunication lines, government intervention, administrative order or rule or any other unavoidable circumstances; or
    • (ii) If the Company considers that it is not appropriate to hold this event.

Article 11 (No Warranty)

  • (1)The Company shall not guarantee the up-to-datedness, accuracy, legality, safety, appropriateness or usefulness of, or the fact that Members’ expectations will be satisfied, with respect to the services, information or the like which the Members can obtain through the Services.
  • (2)When the Members who participate in the Contest need to travel to Japan, such Members shall, at their own responsibility, take such procedures, including obtaining a visa, as required in their own countries and in Japan. The Company shall not guarantee whether or not the Members will be allowed to enter Japan; shall not be liable for any troubles occurring in relation to the Members’ entry into Japan or during their stay in Japan, except where it is obvious that such damage has been caused by the Company’s willful misconduct or gross negligence.

Article 12 (Handling Personal Information)

The Company shall respect Members' privacy, pay the utmost attention to the management of Members' personal information, and handle the same in accordance with the separately established "Privacy Policy".

Article 13 (Information Provided by Members)

The Company may conduct a survey on the provision of the Services and other surveys (the "Surveys").
  • (1)The Members shall provide their opinions, information or the like in the Surveys of their own free will and at their own responsibility.
  • (2)The Company may, at its sole discretion, render the content of the results of the Surveys, in a form where individuals cannot be identified, and edit and reproduce such contents in internal documents, plans and other documents, or on other information media prepared by the Company or its affiliated companies. In this case, all copyrights in the content of the results of the Surveys reproduced shall be owned by the Company.

Article 14 (Notice by Company)

The Members agree that the Company may send messages and inquiries to the Members based on the Registered Information and regarding the announcement of services other than the Services operated and provided by the Company, both during and after the period of providing the Services.

Article 15 (Subcontracting)

The Company may subcontract all or part of the operations in the performance of the Services to a third party (hereinafter such third party is referred to as the "Subcontractor"). In this case, the Company shall impose upon the Subcontractor obligations equivalent to the obligations of the Company under these Terms.

Article 16 (Change, Suspension and Termination of Services)

  • (1)The Company may change or temporarily suspend the Services without providing prior notice to the Members.
  • (2)The Company may suspend, for an extended period of time, or terminate the entirety of the Services upon the provision of one (1) month prior notice to the Members.

Article 17 (Amendment to Terms)

The Company may amend these Terms from time to time. All the Members shall be deemed to have agreed to the amended Terms upon the expiration of two (2) weeks after the Company’s posting of the amendment to these Terms on the Site.

Article 18 (Assignment)

The Members shall agree in advance that the Company may assign or transfer any rights or obligations under these Terms to its subsidiary by the Company’s posting of such assignment on the Site.

Article 19 (Governing Law and Jurisdiction)

The Services and these Terms shall be governed by the laws of Japan, and all disputes arising in relation to the Services or these Terms shall be submitted to the Tokyo District Court or the Tokyo Summary Court as the court of first instance.

Article 20 (Survival)

Article 4, Paragraphs (3) and (5), Article 7, Items (5) through (7), Articles 9 through 14, Article 19 and this Article shall survive the expiration of the period of the Services set forth in Article 8.
(Supplementary Provisions) Implemented and in force as from April 1, 2012.
